The first step required when setting up a limited liability company over the Internet, is the registration of partners in the eKRS online system. This is the first requirement. Next, for the electronic signing of documents a qualified certificate or a trusted ePUAP profile will be required.
After registering the partners in the eKRS system, a contract template can be downloaded. This needs to be properly filled out and signed in order to complete the online registration of a limited liability company.
Importantly, the online mode of setting up a limited liability company is available exclusively to individuals who are making a contribution in monetary form. In the case of a contribution in kind, the standard bureaucratic registration procedure is required. After properly completing the contract template, the partners must sign it using a qualified certificate or a trusted ePUAP profile - only then will it be valid and allowed to be submitted to the National Court Register.
When founding a limited liability company online the application fee is paid via the online payment system. The cost is the same as in the case of traditional registration in the court and amounts to 250 zł for the court fee + 100 zł for the entry in the Monitor Sądowy i Gospodarczy (Court and Economic Monitor). After payment of the fee, the application is sent to the appropriate department of the National Court Register.
The whole process should not take longer than a few hours, although technical problems may cause it to be prolonged.
A company founded online has the same status as that established by the traditional route. It has legal personality and is automatically assigned a NIP and REGON.
That's it - thanks to the possibility of registering a limited liability company on the Internet, there is no longer a need to make separate visits to the court, the Statistical Office and ZUS, as was the case before 2012. That is what a "one-stop" solution should look like in practice.
